Terms of Service
These Terms of Service (“Terms”) form a binding agreement between you, and the organization you represent (together, “you”), and StandardFlow, Inc., a Delaware corporation (“StandardFlow,” “we,” “us”). They govern your access to and use of the standardflow.io website and the StandardFlow AI application (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
StandardFlow AI is an AI-assisted tool that reviews technical and manufacturing documents against regulatory standards and produces gap-analysis results, citations, and readiness indicators to support — not replace — your own compliance review. The Service is offered on an evolving basis and may include features still in active development; we may modify, suspend, or discontinue any part of the Service at any time.
2. AI-generated output; not professional advice
- Outputs are generated by automated systems and large language models and may contain errors, omissions, or inaccuracies.
- The Service is an assistive tool. Its outputs are not legal, engineering, regulatory, or professional advice, and do not constitute certification, approval, or a guarantee of compliance.
- Outputs do not replace review and judgment by a qualified human professional. You are solely responsible for independently verifying every output and for all compliance, engineering, certification, and submission decisions.
- We do not warrant that outputs are accurate, complete, current, or fit for any regulatory submission or audit. Do not rely on the Service as the sole basis for any safety-, compliance-, or certification-critical decision.
3. Eligibility and accounts
You must be able to form a binding contract and be at least 16 years old. You are responsible for keeping your credentials secure, for all activity under your account, and for your organization’s users.
4. Acceptable use
You will not:
- use the Service in violation of any applicable law or regulation;
- upload content you do not have the right to submit, or others’ personal or confidential data without authorization;
- upload information subject to export controls or national-security restrictions — including ITAR- or EAR-controlled technical data, classified information, or other government-restricted material — which the Service and its infrastructure are not authorized to receive or store;
- attempt to reverse engineer, scrape, overload, or disrupt the Service or its security; or
- use outputs in a manner that violates these Terms or applicable law.
5. Your content
You retain all rights to the documents and data you upload (“Customer Content”). You grant us a limited, non-exclusive license to host, process, and analyze Customer Content solely to provide and improve the Service. You represent that you have the rights and permissions necessary to upload Customer Content and to have it processed by our service providers (described in the Privacy Policy). We do not claim ownership of Customer Content. If you send us suggestions or feedback, you grant us a non-exclusive, royalty-free, perpetual license to use it to improve the Service without obligation to you.
6. Fees, credits, and billing
Paid plans and usage credits are billed through our payment processor (Stripe) according to the pricing presented at the time of purchase. Except where required by law or expressly stated, charges are non-refundable. We may change pricing on a going-forward basis.
7. Intellectual property
The Service — including its software, models, design, and content (excluding Customer Content) — is owned by StandardFlow and its licensors. We grant you a limited, revocable, non-transferable right to use the Service in accordance with these Terms.
8. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANDARDFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR ANY OUTPUT. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US$100.
10. Indemnification
You will indemnify and hold StandardFlow harmless from claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to comply with law. Provisions that by their nature should survive termination — including Sections 2 and 5 through 10 — will survive.
12. Changes to these Terms
We may update these Terms from time to time. We will revise the effective date above and, for material changes, provide notice through the Service. Your continued use after changes take effect means you accept the updated Terms.
13. Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue there.
14. General
These Terms, together with the Privacy Policy, are the entire agreement between you and StandardFlow regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may provide notices to you through the Service or by email.
